RedBall Acquisition Corp (NYSE: RBAC) has scheduled a meeting of shareholders to approve the proposed business combination with SeatGeek on June 1. The meeting will be held virtually at 9:30 a.m. Should it be approved by the shareholders, the combination will see the combined company renamed to SeatGeek, Inc. and its handle on the stock exchange changed to STGK.
SeatGeek and RedBall – a Special Purpose Acquisition Corporation led by baseball executive Billy Beane and sponsored by RedBird Capital Partners – announced their plans to merge in October of 2021. The deal values SeatGeek at approximately $1.35 billion. Once complete, the merger will make SeatGeek the second major ticket marketplace to go public via a SPAC in a short span, joining Vivid Seats (NASDAQ: SEAT).
“We believe SeatGeek is truly the future of live event ticketing. SeatGeek’s technology, customer focus, brand and vertically integrated model align the needs of fans and rightsholders, and differentiates SeatGeek from other industry players, as demonstrated by its impressive growth and share gain momentum,” Alex Scheiner, CEO of RedBall said at the time of the deal’s announcement. “Just as importantly, Jack [Groetzinger] and the SeatGeek team have built a proven and scalable growth model with compelling long-term margins. With additional capital and RedBall’s company building experience and relationships, we’re excited to help scale this visionary company.”
SeatGeek announced revenue in its most recent financial report, with its full-year 2021 number up close to 24 percent over 2019. That said, the market has taken a beating in recent weeks, evidenced by SEAT dropping to a 52-week low of just above $7 in early trading Thursday, while Live Nation (NYSE: LYV) has fallen by more than 20 percent in the last month to $84 a share.
